제 10회 DLA Piper Seminar Series 를 준비 했습니다. 3월 18 (수)일과 19일 (목), 이틀간 (저녁 7시 ~ 9시),  Patrick Smith 변호사 (별첨) 사회로 진행하였으면 합니다. 이번 세미나는 DLA Piper가 직업 배우들을 고용하여 제작한유명한 교육용 Corporate Drama인데 이것을 3부로 나누어 상영하며 그에 관한 토론으로 진행 합니다.  참고로 영화 예고편을 첨부 합니다.  자세한 내용은 아래 Summary를 참고 하여 주시기 바랍니다. 사내 변호사가 회사 내에서부닥치고 풀어야 하는  여러 가지 이슈들을 영화화 한 것으로 특히 사내변호사 분들에게는 매우 유익한 정보가 될 것 입니다.

“At What Cost?”

Summary

“At What Cost?” is a proprietary CLE presentation of DLA Piper LLP (US), which runs approximately 90 minutes – including: (1) 45 minutes of the showing of a film in three 15-minute segments, and (2) 45 minutes of discussion between the facilitator and the participants, including prior to the first film segment and after each of the film segments.  We propose this CLE presentation for credit, including legal ethics credit for the full 90 minutes.

The film depicts a fictional corporate drama, which illustrates a company dealing with multiple issues that raise legal concerns and risks, including: the drive for corporate growth and strategic shift towards new business ventures; the litigation and regulatory environment faced by board members, general counsels, and senior business executives; and the implications of these for the handling of investigations, reporting, and stakeholder interests.   DLA Piper developed this film as an interactive discussion piece for education and discussion with lawyers.   There are two alternative endings, which show the General Counsel of the company either resigning or staying with company based on the events and decisions made by the company and its leadership.  These alternative scenarios provide further opportunity for discussion about the legal and ethical implications of certain decisions for in-house lawyers. 

Our CLE presentation begins with DLA Piper attorneys introducing the film, and outlining the topics noted above. (5 minutes).  The first segment (15 minutes) of the film is then shown, and DLA Piper attorneys then facilitate and lead a discussion with the audience regarding the issues presented in the segment (10 minutes).  The second segment (15 minutes) of the film is then shown, and DLA Piper attorneys then provide further facilitated discussion and commentary on this portion of the film (15 minutes).  After the final segment of the film is shown (15 minutes), there is a final discussion and commentary with the DLA Piper attorneys, who summarize and suggest issues for further consideration (15 minutes), based on the alternative endings of the film

The key issues raised by the film, and which are part of the discussion and commentary by DLA Piper attorneys, include:

·         The role of the General Counsel in compliance, including whether compliance should be a separate function from legal and how to balance the roles of legal, audit and compliance.

·         Best practices in corporate governance for compliance and risk management.

·         Reporting obligations of the General Counsel, including to shareholders, boards of directors, and corporate executives.

·         Management and authority for legal decisions in a corporation.

·         Managing conflicts of interest and protection of confidential company information, including insider information.

·         Assessing privilege issues in internal investigations, including in instances where external counsel or investigators are involved.

·         Obligations regarding internal controls and procedures under Sarbanes-Oxley, FCPA and other key statutes.

·         Role of due diligence and the level of review required.

·         Role of the Audit Committee, and reporting obligations of company executives to the chair and members of that committee.

·         Addressing preservation of documents, scoping of internal investigations, and review of whistleblower complaints.

·         Communication with external, independent auditors regarding internal investigations and business strategy.

·         Challenges for law departments in providing legal advice and assessing risks.

·         Current risks in the regulatory and compliance environment.
